Michael James Kingshott CVO (Executive Chairman), age 61

Michael was appointed to the board of the Company on 16 September 2007. A prominent business executive in City of London with over 36 years of experience in property, shipping, transportation and logistics with considerable trading and management experience with Asia Between 1981 and 1993 Mr. Kingshott was managing director at Sally UK Holdings plc and was chairman between 1993 and 1995. Subsequently, he became non executive chairman of Embassy Property Group plc, which was acquired by Jacobs Holdings plc in 1995. He left Jacobs Holdings plc in 2002. He is currently Chairman of Serviced office Group plc

Steve But SunWong (Chief Executive Officer/Director), age 54

Mr Wong, based in Hong Kong, is a North America trained and PRC-experienced operator and strategist. As a 25 years China trade veteran, Mr. Wong spent 10 years with Pepsi Cola International, where he was actively responsible for joint venture formations, government relations, Licence Agreement management and business operations. Mr Wong has also served 3 years as President of Sara Lee N.V., Greater China and Chief Executive, Asia Pacific of Dogi International Fabrics SA for the last 6 years. Mr Wong joined ADSL in 2007.

Andrew Ting Koon Tan (Operations Director), age 43

Andrew was formerly a General Manager of ADSL. He is 43 and was educated in Singapore and has worked in the PRC beverage industry for over ten years. He was the founder of New Sing Xia, which was acquired by ADSL in 2007.

Corporate Governance

The Board has the overall responsibility for determining the Company’s investment objectives and policies as well as the Company’s investment activity and performance in addition to approving individual projects and investments. The Group also intends to comply with the principles of the Corporate Governance Guidelines for AIM Companies published by the Quoted Companies Alliance in 2005.

The Board has established audit, remuneration and nomination committee, each of which will be constituted on Admission.

The Company has appointed Michael James Kingshott, as non-executive Chairman, and John Terence Hung, as non-executive Director. John Terence Hung will chair the audit committee, the remuneration committee and the nomination committee.

The audit committee will comprise only the non-executive directors and it will receive and review reports from the management and the external auditors of the Group relating to the annual and interim accounts and the accounting and internal control systems of the Group. The audit committee will have unrestricted access to the Group’s external auditors.

The remuneration committee will comprise only the non-executive directors and it will set and review the scale and structure of the executive directors’ and the senior management’s remuneration and the terms of their service contracts with due regard to the interests of the Shareholders. The remuneration and terms and conditions of appointment of the non-executive Directors will also be set by the remuneration committee. No director or member of the senior management is permitted to participate in discussions or decisions concerning his own remuneration.

The nomination committee will comprise only non-executive directors and it will consider the selection and re-appointment of Directors. It will also identify and nominate candidates to all Board vacancies and review regularly the structure, size and composition (including the skills, knowledge and experience) of the Board and make recommendations to the Board with regard to any changes
